Business Transactions and General Counseling

Business Transactions and General Counseling

Our Business Law practice group provides a full range of general business and corporate legal services, assisting clients – from start-ups to existing entities -- in the implementation and operation of their business ventures. We assist founders and investors in selecting, forming, organizing and capitalizing corporations, partnerships, joint ventures, limited liability entities and others to provide favorable benefits from a tax, securities and corporate control perspective.

To ensure that the ownership and control of the entity is within the desired parameters, attorneys in the practice negotiate and draft the appropriate documentation in the form of partnership agreements, limited liability company operating agreements, buy-sell agreements, shareholder agreements, voting agreements, voting trusts and proxies.

We provide on-going business counseling, and regularly represent clients in the drafting, review and negotiation of agreements of every sort relating to business transactions and arrangements, including: management agreements, licensing agreements, non-disclosure, confidentiality, nonsolicitation and non-compete agreements, distribution agreements, independent contractor agreements, purchase orders terms and conditions, and equipment leasing agreements.

We also assist our clients in complex transactions, business sales and purchases, and mergers, as well as in a wide variety of governance, compliance and licensing issues.

Our attorneys regularly represent closely held businesses and their owners and understand the unique issues these entities encounter. Beyond providing legal advice on business issues, our attorneys are focused on personal, corporate, family and transitional planning for these businesses and their owners.

Additionally, our firm has a niche practice focused on representing professional service corporations. This includes representing health care providers, such as physicians, dentists and allied professionals, in their unique operational, contractual and compliance matters. Also, we regularly represent accountants, engineers and architects with respect to their business operations.
